Monitoring directors' holdings is based on the theory that no one buys shares in a company expecting the share price to fall.

Directors' have a better understanding of their business and its future growth prospects. They also have a vested interest in its success.

By uncovering who’s buying and selling shares in their own company, Australian investors can extend their scope of research beyond fundamental and technical analysis.

Where is the data from?

Company directors' must notify the market of all share transactions they make in their own company.

The ASX requires them to lodge an “Appendix 3Y - Change of Director's Interest Notice” within 5 business days[1].

Market Index manually documents every Appendix 3Y each day.

Editor's Notes

Why tracking directors' transactions isn't simple.

There’s no centralised database of Directors' Transactions for ASX companies.

The market simply receives an endless stream of 3Y Announcement PDFs. The data in these PDFs must be manually compiled.

To complicate the matter, a director's shareholding can be spread between multiple entities (both directly and indirectly owned) and contain a convoluted mess of ordinary shares, options and performance rights. Throw in a change of company name or a typo by the director themselves and you can see the difficulties we encounter.

We do our best to accurately document and decipher these cryptic paper trails for you, but we can’t guarantee they'll be error free. You can cross check any transaction we list with the corresponding ASX announcement. These are usually released within 7 days of the transaction date.

Data

Data BEFORE 1 May 2016 contains all changes in a director’s shareholding.

Data AFTER 1 May 2016 only includes on-market transactions of ordinary shares.

Why did we change? The goal is to find directors putting money on the line, not document every insignificant transaction. That means we now ignore shares acquired via a DRP, share issues, off-market transfers, "In lieu of salary" and share purchase plans. We also ignore convertible notes and stapled securities.

“Date” refers to the transaction date. If there are multiple transaction dates listed on the same 3Y Form, then the most recent date is used.

“Amount" refers to the NET movement of shares on the same 3Y Form. If 10,000 shares are bought and 7,000 shares are sold, then it will show a BUY of 3,000 shares.
